Annual General Meeting

Bicycle NSW AGM 2010

Notice is given that the Annual General Meeting of Bicycle NSW is to be held at 6.00pm on Wednesday 10 November 2010 at Sydney Mechanics School of Arts (SMSA) 280 Pitt Street, Sydney, NSW 2000 to consider the following items of business:

1.       Confirming the minutes of the last preceding annual general meeting.

2.       Receiving reports from the Board on activities of Bicycle NSW during the last preceding financial year.

3.       Electing certain ordinary members of the board (nomination forms are available on the website at http://www.bicyclensw.org.au/content/nominations and completed nomination forms must be received by the Secretary before 5.00pm on Tuesday 14 September 2010).

4.       Receiving and considering the statement which must be submitted to members pursuant to section 26(6) of the Associations Incorporation Act 1984.

A representative of Allens Arthur Robinson will act as Returning Officer at the AGM.   

Online Voting

Following changes to the Bicycle NSW constitution in 2008, members will again be able to vote online provided their membership is fully paid up to the date of the AGM or beyond. The independent website facility will be available to members from 9.00am Friday 1 October 2010 until 6.00pm Tuesday 2 November 2010.

At the time direct voting opens Computershare Investor Services Pty Ltd (who are the independent service provider appointed by the Board in respect of direct voting by electronic transmission for the 2010 AGM) will email a unique PIN to all members who have provided an email address to Bicycle NSW.  In order to use the online voting facility, you will need to provide your Bicycle NSW Membership number together with your unique PIN.

To check or update your email address in your member profile simply go to www.bicyclensw.org.au/content/membership then login.

What do I do if my membership expires before the AGM?

If your membership expires before the AGM on Wednesday 10 November 2010 you will need to renew it online before 12 midnight Sunday 24 October 2010 in order to lodge a direct vote.  If you renew your membership by 12 midnight Sunday 26 September 2010 you will be able to access the online voting facility from Thursday 30 September 2010.  If you renew it after 12 midnight Sunday 26 September but before 24 October 2010, you will be not be able to access the online voting facility until 9.00 am Thursday 28 October 2010.  

All online voting closes at 6.00 pm 2 November 2010.

Proxy Voting

Those members who wish to vote but who are unable to do so online or attend the AGM in person may also vote via proxy. Proxy forms will be available after Board nominations close on Tuesday 14 September 2010 and may be obtained:

• by clicking here (forms available from the 15th Spetember) or ;
• from the office of Bicycle NSW at Level 1, Heritage Building A, 1 Herb Elliott Avenue, Sydney Olympic Park, Homebush Bay, NSW 2127; or
• by phone request to 02 9704 0801 or;
• by mail request to Bicycle NSW at Level 1, Heritage Building A, 1 Herb Elliott Avenue, Sydney Olympic Park, Homebush Bay, NSW 2127. Please include your name and return address details.

Completed proxy forms must be received by Bicycle NSW before 6.00pm on Sunday 7 November 2010.
